During December 2014, the Company, through the Rangeview Metropolitan District, consented to the waiver of all contingencies set forth in the Amended and Restated WISE Partnership – Water Delivery Agreement, dated December 31, 2013 (the “WISE Partnership Agreement”), among the City and County of Denver acting through its Board of Water Commissioners (“Denver Water”), the City of Aurora acting by and through its Utility Enterprise (“Aurora Water”), and the South Metro WISE Authority (“SMWA”). The SMWA was formed by the District and nine other governmental or quasi-governmental water providers pursuant to the South Metro WISE Authority Formation and Organizational Intergovernmental Agreement, dated December 31, 2013 (the “SM IGA”), to enable the members of SMWA to participate in the regional water supply project known as the Water Infrastructure Supply Efficiency partnership (“WISE”) created by the WISE Partnership Agreement. The SM IGA specifies each member’s pro rata share of WISE and the members’ rights and obligations with respect to WISE. The WISE Partnership Agreement provides for the purchase of certain infrastructure (i.e., pipelines, water storage facilities, water treatment facilities, and other appurtenant facilities) to deliver water to and among the 10 members of the SMWA, Denver Water and Aurora Water. Certain infrastructure has been constructed, and other infrastructure will be constructed over the next several years.

 By consenting to the waiver of the contingencies set forth in the WISE Partnership Agreement, pursuant to the terms of the Rangeview/Pure Cycle WISE Project Financing Agreement (the “WISE Financing Agreement”) between the Company and the District, the Company has an agreement to fund the District’s participation in WISE effective as of December 22, 2014. The Company’s cost of funding the District’s purchase of its share of existing infrastructure and future infrastructure for WISE is projected to be approximately $5.8 million over the next five years. 

System Interconnection

Pure Cycle is in the process of developing infrastructure for strategic growth:

The strategic system plan includes plans for connecting existing water supply, storage, and customers so that the Company will be able to transport and store water to where the need exist and to meet peak demands throughout the system.The plans will also expose the Company to new opportunities to utilize our extensive water supply for potential customers adjacent to the Company's water supplies.

  • Approximately two mile pipeline will connect our Lowry well field to our existing customers;
  • Approximately seven mile pipeline will connect our Rangeview water system to our Sky Ranch System; and
  • Approximately 12 mile pipeline will connect our Sky Ranch system to systems along the I-70 corridor.

Lowry Range

The Lowry Range water assets include a combination of approximately 26,000 acre feet of deep groundwater, over 8,100 acre feet of surface water in two tributaries Coal Creek and Box Elder Creek (which based on an average precipitation year yield approximately 3,311 acre feet of water), and 29,000 acre feet of surface reservoir storage rights. The company manages its groundwater supplies in conjunction with its surface water supplies and surface water storage rights to provide reliable, high quality, wholesale water service to its local government water service provider customers.

Arapahoe County Fairgrounds

We completed the expansion of our water system to provide water services to the Arapahoe County Fairgrounds in 2006. Since its July 21, 2006 opening, we have provided an uninterrupted supply of fresh water to the various events held at the fairgrounds location. Here, you can see our 500,000 gallon water tank with the first phase of the county fairgrounds facility in the forefront.

In March of 2012, the State Land Board entered into an Oil and Gas Lease with Conoco for the Lowry Range. Pursuant to our agreements, PureCycle is the exclusive water provider for the Lowry Range, and we look forward to working with Conoco to provide water for their oil and gas development on the Lowry Range.

Sky Ranch Development

About Sky Ranch

In 2010, we purchased approximately 931 acres of undeveloped land located in unincorporated Arapahoe County known as Sky Ranch. Sky Ranch is located directly adjacent to I-70, 16 miles east of downtown Denver, four miles north of the Lowry Range, and four miles south of Denver International Airport.

The property includes rights to 820 acre feet of water and approximately 640 acres of oil and gas mineral rights and has been zoned for residential, commercial and retail uses that may include up to 4,850 SFEs. Sky Ranch is zoned for 4,400 homes and 1.35 million square feet of commercial and retail property. There is currently no development at Sky Ranch. We currently lease the land to an area farmer and have leased the minerals to ConocoPhillips. We envision that when development at Sky Ranch begins, the development will be in the form of entry-level housing (houses costing around $300,000)..

September 20, 2016 we received approval from the Arapahoe County Planning Commission which recommends approval to the Board of County Commissioners an amendment to the Sky Ranch Preliminary Development Plan, and Preliminary Plat Filing for up to 525 homes.
