This current report on Form 8-K is filed by Pure Cycle Corporation (the “Registrant”), a Colorado corporation, in connection with the matters described herein.

Item 8.01Other Events.

On August 23, 2022, Registrant received $23.6 million from the Sky Ranch Community Authority Board for repayment of public improvement costs and related interest on those improvements, related to the development activity at the Registrants master Planned Community Sky Ranch. The Registrant issued a press release regarding this payment. A copy of the press release is furnished as Exhibit 99.1 hereto, and in incorporated herein by reference.
